Terms of Service

1. Acceptance of Terms

By accessing or using InnTrax ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users of the platform, including property managers, staff members, and guests accessing public-facing booking pages.

2. Description of Service

InnTrax is a property management platform designed for retreat centers, hospitality operators, and residential property managers. The Service includes tools for booking management, staff scheduling, housekeeping, maintenance tracking, vendor management, CRM, and related features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where possible.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@inntrax.com if you become aware of any unauthorized use of your account.

Each account is for a single property or organization. You may not share login credentials across unaffiliated organizations. Staff members may be added to your account as separate users with appropriate role-based permissions.

4. Subscription and Billing

InnTrax is offered on a subscription basis. Fees are charged monthly or annually depending on your selected plan. Your subscription begins at the end of any applicable trial period.

All fees are non-refundable except as required by law. We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

If payment fails, your account may be downgraded or suspended after a grace period. You are responsible for keeping your payment information current.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to store or transmit unlawful, harmful, or fraudulent content
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Reverse engineer, decompile, or otherwise attempt to extract source code from the Service
  • Use the Service in a way that could damage, disable, or impair its availability or functionality
  • Resell or sublicense access to the Service without our written consent

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all data you input into the Service. By using InnTrax, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service.

We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security of your information.

7. Guest and Third-Party Data

When you collect personal information from your guests, tenants, or staff through InnTrax, you are the data controller for that information. You are responsible for ensuring you have appropriate legal basis to collect and process this data, and for informing individuals about how their data is used.

8. Intellectual Property

The Service, including all software, design, content, and trademarks, is owned by InnTrax and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described here.

9. Limitation of Liability

To the maximum extent permitted by law, InnTrax shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless InnTrax, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may cancel your subscription at any time through the billing settings in your account or by contacting support@inntrax.com. Cancellation takes effect at the end of your current billing period.

We reserve the right to suspend or terminate your account immediately if you violate these Terms or if we reasonably believe your use of the Service poses a risk to other users or the platform.

12. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the courts of Ohio.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice within the Service. Continued use after changes take effect constitutes your acceptance of the revised Terms.
